These Terms of Service govern the relationship between BK Intelligence ("we", "us", "our") and any client or visitor ("you", "Client") who engages our services or accesses our website. By placing an order, signing a project proposal, or using our website, you agree to these Terms.
BK Intelligence designs, builds, and deploys custom AI-powered workflow automation systems for accounting firms and financial professionals. Services may include, but are not limited to:
The specific scope of services for any engagement is defined in the Project Proposal, which forms part of these Terms upon acceptance.
All services are provided under a written Project Proposal accepted by the Client. Verbal agreements do not constitute a binding contract. A Project Proposal is accepted when the Client provides written confirmation (email is sufficient) or signs the proposal document.
All Project Proposals are issued at a fixed price unless otherwise expressly stated. The fixed price covers the scope described in the proposal. Work outside that scope ("out-of-scope work") will require a separate proposal or written change order before it is commenced. We will not perform out-of-scope work without your prior written agreement to the additional cost.
The initial workflow audit offered by BK Intelligence is provided at no charge and creates no obligation on either party. A formal engagement commences only upon acceptance of a Project Proposal.
To enable us to deliver the Services effectively, the Client agrees to:
Delays caused by the Client's failure to fulfil these obligations may result in project timeline extensions. BK Intelligence is not liable for any losses arising from such delays.
Important: Outputs generated by AI components of our automations (including but not limited to outputs from Claude API and Gemini API) are produced by probabilistic models and are not guaranteed to be accurate, complete, or free from error.
BK Intelligence builds automation systems that incorporate AI models to process, classify, extract, or generate information. The Client acknowledges and agrees that:
BK Intelligence is not a regulated professional services firm (accountant, auditor, legal adviser, or financial adviser) and nothing in the Services constitutes professional advice of any kind.
BK Intelligence retains all intellectual property rights in its methodologies, frameworks, templates, and pre-existing tools used in the delivery of Services ("Background IP"). Nothing in these Terms transfers ownership of Background IP to the Client.
BK Intelligence retains full and exclusive ownership of all automation systems, workflow logic, flow configurations, and hosting infrastructure it designs, builds, and operates. Automations are not sold, assigned, or transferred to Clients. They remain the intellectual property of BK Intelligence at all times, regardless of the level of customisation applied for any specific Client.
For the duration of an active subscription, BK Intelligence grants the Client a non-exclusive, non-transferable licence to access and use the automation systems as a service. This licence is limited to the Client's internal business operations and terminates automatically upon cancellation or non-renewal of the subscription. No ownership rights in the automation systems, workflow logic, or infrastructure are conveyed by this licence. Workflows are not transferred, sold, or handed over under any circumstances.
The Client retains all intellectual property rights in any materials, data, branding, or content it provides to BK Intelligence. The Client grants BK Intelligence a limited, non-exclusive licence to use such materials solely to the extent necessary to deliver the Services.
"Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in connection with the Services, including but not limited to business processes, client data, financial information, technical specifications, and the contents of any Project Proposal, whether or not marked as confidential.
Each party agrees to: (a) hold the other's Confidential Information in strict confidence; (b) use it only for the purposes of the engagement; (c) disclose it only to personnel with a need to know who are bound by equivalent confidentiality obligations; and (d) apply at least the same degree of care to protecting it as it applies to its own confidential information, but in no event less than reasonable care.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice where legally permitted.
Confidentiality obligations survive termination of the engagement for a period of three (3) years.
Where BK Intelligence processes personal data on behalf of the Client in the course of delivering the Services, it does so as a data processor within the meaning of the GDPR. The processing is governed by a separate Data Processing Agreement (DPA) between the parties, which is incorporated into these Terms by reference.
BK Intelligence's collection and use of personal data through its own website and business operations is described in its Privacy Policy.
Where BK Intelligence automation workflows access third-party services on behalf of the Client (including Gmail, Google Drive, and Google Sheets), access is granted exclusively through OAuth2 authorisation. The Client explicitly authorises BK Intelligence to access specific scopes within their accounts by completing the OAuth2 consent flow. Access tokens are stored securely and used only to the extent necessary to execute the agreed automation workflows.
BK Intelligence does not have direct access to Client email inboxes. All email processing is carried out by automated systems via the Gmail API using authorised OAuth2 tokens. No BK Intelligence personnel reads, monitors, or manually accesses Client email accounts at any time.
API access is scoped to the minimum permissions required for each automation to function. Broad or unnecessary account access is never requested. Clients may revoke OAuth2 authorisation at any time through their Google account settings, which will immediately suspend any automation that relies on that authorisation.
All automation workflows are hosted by BK Intelligence on Hetzner cloud infrastructure located in the European Union. BK Intelligence is responsible for the security, availability, and maintenance of this infrastructure for the duration of the subscription.
The Client agrees not to use the Services or any Deliverables:
BK Intelligence reserves the right to suspend or terminate Services if the Client breaches this Section. The Client shall indemnify BK Intelligence against any claims arising from such misuse.
BK Intelligence will issue invoices in accordance with the payment schedule set out in the Project Proposal. Where no schedule is specified, invoices are issued: 50% on project commencement and 50% on delivery.
Invoices are due within 14 calendar days of the invoice date. All amounts are stated exclusive of VAT. Applicable Belgian VAT will be added to invoices where required by law.
In the event of late payment, BK Intelligence reserves the right to charge statutory interest in accordance with the Belgian Law of 2 August 2002 on combating late payment in commercial transactions, as amended. BK Intelligence may also suspend work until outstanding amounts are settled.
Third-party costs (e.g. API usage fees, software licences) are not included in fixed quotes unless expressly stated. Where such costs are incurred on the Client's behalf, they will be invoiced at cost with prior Client approval.
To the fullest extent permitted by applicable law, BK Intelligence's total aggregate liability to the Client for any claims arising out of or in connection with these Terms or the Services (whether in contract, tort, or otherwise) shall not exceed the total fees paid by the Client under the relevant Project Proposal in the twelve (12) months preceding the claim.
BK Intelligence shall not be liable for any:
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under mandatory Belgian or EU consumer protection law, including liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.
BK Intelligence's Services are technical in nature. The Client is responsible for ensuring that any automation used in a regulated context (financial reporting, tax filing, auditing, compliance) meets all applicable professional and regulatory standards. BK Intelligence is not liable for regulatory penalties, professional sanctions, or compliance failures arising from the Client's use of the Services.
The Client agrees to indemnify and hold harmless BK Intelligence from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) the Client's breach of these Terms; (b) the Client's misuse of the Services or Deliverables; (c) any claims that data provided by the Client infringes third-party rights or was processed without lawful basis; or (d) the Client's violation of applicable law.
These Terms apply from the date of acceptance of a Project Proposal and continue until the completion of the Services and settlement of all outstanding amounts, unless terminated earlier as set out below.
Either party may terminate an engagement by providing 14 days' written notice. In such case, the Client shall pay for all work completed up to the date of termination, plus any non-cancellable third-party costs already incurred.
Either party may terminate immediately upon written notice if the other party: (a) materially breaches these Terms and fails to remedy the breach within 10 business days of notice; (b) becomes insolvent or enters into administration or liquidation; or (c) in the case of BK Intelligence, if the Client breaches Section 9 (Acceptable Use).
Sections 5 (AI Disclaimer), 6 (Intellectual Property), 7 (Confidentiality), 10 (Fees), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms or the Services that cannot be resolved by good-faith negotiation shall be submitted to the exclusive jurisdiction of the courts of Belgium.
The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
BK Intelligence reserves the right to amend these Terms at any time. Amendments will be published on this page with an updated "Last updated" date. For existing engagements under an active Project Proposal, the Terms in effect at the time of proposal acceptance shall govern that engagement, unless the parties agree otherwise in writing.
Continued use of our website or engagement of our Services following publication of amended Terms constitutes acceptance of those amendments for new engagements.
